Terms of Service

These terms govern every booking, uplift and delivery we perform on your behalf.

Last updated · 1 January 2025

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you ("Shipper", "you") and Union Cargo Logistics ("we", "us", "our"). By booking a shipment with us, you accept these Terms in full. If you are booking on behalf of a company, you confirm you have authority to bind that company.

These Terms are supplementary to any signed service agreement between you and us. In the event of a conflict, the signed agreement prevails.

2. Services

We provide, on a best-efforts basis:

  • Air freight on scheduled and chartered carriers.
  • High-value cargo handling under sealed chain of custody.
  • Export and import customs clearance.
  • Final-mile delivery to the consignee's premises.

We act as a freight forwarder, not as a carrier. Carriage performed by third-party carriers is subject to their own conditions of carriage, which are available on request.

3. Bookings & acceptance

A booking is only confirmed once we issue a written confirmation and an air waybill number. Until then, no contract of carriage exists.

We reserve the right to refuse any shipment — including but not limited to shipments that are misdeclared, prohibited, inadequately packed, or outside our operating capabilities — without liability.

4. Rates & payment

Rates are quoted on chargeable weight, which is the greater of actual weight or volumetric weight, and are valid for 7 days unless otherwise stated.

  • Invoices are payable within 14 days of issue unless credit terms are agreed in writing.
  • Ancillary charges — storage, demurrage, re-routing, re-weighing — are billed at cost plus a handling fee.
  • Overdue amounts accrue interest at 1.5% per month.
  • We reserve the right to place shipments on hold where payment is overdue.

5. Shipper obligations

You agree to:

  • Provide accurate, complete and legible shipment documentation.
  • Declare the true nature, weight and value of the goods.
  • Ensure goods are packed to withstand air transport and handling.
  • Not offer dangerous goods, prohibited items or undeclared valuables.
  • Comply with all applicable export, import and sanctions laws.

You indemnify us against any loss, fine or penalty arising from a breach of these obligations, including misdeclaration.

6. High-value cargo

High-value cargo — including gold, bullion, gemstones and declared valuables — is accepted only under specific conditions:

  • A signed handling agreement must be in place before uplift.
  • Cargo must be sealed and weighed at origin, in our presence.
  • Insurance must be arranged to full declared value, either through us or by the shipper.
  • Delivery is made only to the named consignee or their authorised representative, against signature.

7. Customs & regulatory

We file customs declarations in good faith based on the information you provide. We are not responsible for delays, fines or seizures arising from inaccurate classification, undervaluation or missing documentation.

Duty, VAT and other government charges are payable by the party designated on the air waybill, unless otherwise agreed in writing.

8. Liability

Unless a higher value is declared and insured, our liability for loss or damage to cargo is limited to the lower of:

  • The value declared on the air waybill, or
  • USD 20 per kilogram of chargeable weight, or
  • The invoice value of the goods.

We are not liable for indirect, consequential or economic loss — including loss of profit, market or opportunity — however arising.

Nothing in these Terms limits liability for fraud, wilful misconduct or any liability that cannot be limited by law.

9. Claims

Claims for loss or damage must be submitted in writing within seven (7) days of delivery, or within fourteen (14) days of the date the cargo should have been delivered, together with supporting documentation.

Claims not submitted within these windows are, to the extent permitted by law, waived.

10. Force majeure

We are not liable for delay or failure to perform caused by events beyond our reasonable control, including weather, industrial action, carrier groundings, government action, customs stoppages, pandemics or war.

11. Termination

Either party may terminate an ongoing service arrangement on thirty (30) days' written notice. Termination does not affect shipments already in transit or amounts already due.

12. Governing law

These Terms are governed by the laws of the Republic of Uganda. Disputes are subject to the exclusive jurisdiction of the courts of Kampala, without prejudice to any mandatory consumer-protection rules in your country of residence.
